Terms and Conditions Acknowledgement
The terms and conditions outlined below are to be considered in effect in the instance an order is placed by the buyer/customer with Paramount Corp. (d.b.a. Oberon Company). Through a placement of purchase agreement (either through a purchase order via hard copy, facsimile or electronically), the customer agrees to the following terms and conditions:
Order Policy: Orders from approved customers will be accepted under the discretion of Oberon Company. In the event of backordered goods, Oberon Company will notify the customer of delays upon request.
The prices, discounts, specifications, terms and conditions of sale are subject to change without advanced notice. Products may be purchased from Oberon only under its terms, conditions and warranty. Submission of order shall be considered acceptance by purchaser of these terms.
Minimum Order Amounts:
There is no minimum order requirement. An invoicing fee of US$10.00 will be added to the
invoice of all orders with merchandise total (at distributor cost) under US$100.00.
FOB Factory - All products are shipped from New Bedford, Mass
Ground Freight is prepaid and added to invoice. Couriers used will be UPS or FedEx ground.
Air Freight is shipped using Distributor’s air freight (UPS, FedEx, DHL, etc.) account. Instructions must be specified on customers Purchase Order.
Common Carrier is freight collect.
Drop Shipping – no additional charge for Drop Shipments. One shipping address per purchase order. Standard freight terms apply.
Expedited shipments – All shipments requested for earlier delivery or expedited services will be subjected to higher freight rates (overnight or second day service). Customer must contact customer service prior to placing any rush orders to determine stock availability.
Payment terms: Net 30 days for Oberon distributors with established credit. Failure to pay invoices within payment terms will jeopardize assigned discount. For wire payments, customers to pay their own
bank wire fees along with the Oberon charge of $25.00 US Bank Fee added to invoice.
Past due accounts: Customers, who do not remit payment within 45 days of invoice date, may result in delay of new or open orders.
Customers who do not remit payment within 60 days of invoice date will be placed on credit hold until the account has been brought within terms.
Oberon has the right to withhold sales or service on any past due accounts.
Returns: Any customer wishing to return unused product within 60 days of original invoice date may submit a request for return to Oberon.
Return Goods Authorization (RGA). Customers must complete Oberon’s return authorization form to request an RGA number. Distributor must supply invoice number and serial numbers (where applicable). Oberon will approve or refuse the request relating to specific products and quantities. Any product returned to Oberon without an RGA number will not be accepted and may be returned at the distributors/users expense
Eligible Products: Merchandise may be returned to Oberon at any time within 60 days of purchase. Beyond 60 days, no returns will be authorized. Only products in new, resaleable condition of current design will be accepted. No made to order items (MTO) will be accepted for return. You will be notified if any merchandise is not eligible for credit due to product condition or other, even if properly returned under this program. Un-credited returned merchandise will be held for 30 days and then may be discarded unless you notify Oberon to return the product at your expense.
Product Packaging: To ensure that the warehouse personnel properly process your return, please include the RGA number on the outside label of every box you are returning. The product must be in original packaging. Only products received by Oberon in resaleable condition are eligible for credit. Any damage found either resulting from use, handling or transportation will be your responsibility and are not eligible for credit.
Freight Prepaid: Authorized products being returned must be sent to Oberon freight prepaid. You are responsible for all freight claims.
Merchandise Credit: Product returned to Oberon which has met the above criteria, will be credited to accounts in good standing in the form of a merchandise credit only. This credit may be used toward past or future purchases of Oberon products and services. The value of the credit will be based upon your invoiced purchase price of the product, less applicable restocking fee, as well as the number of resaleable units returned. Customer Service will mail, fax or email you the Credit Memo.
Restocking Fee: All eligible products returned within 60 days of invoice date will be charged a restocking fee of 25% of the merchandise invoice price. (see b) Exchanges: Customers requesting product exchanges will be required to pay for both the return freight and the freight for the exchange shipment. Subject to restocking fee. Warranty (Goods and materials): Oberon’s products are warranted to be free from manufacturing defects in materials and/or workmanship for one year from the date of purchase. Within this period, Oberon will, at its sole option, repair or replace any item that fails due to manufacturing defect of materials or workmanship. Such repairs or replacement will be made at no charge to the customer for parts or labor.
This warranty does not apply to: (i) cosmetic damage, such as scratches, nicks and dents; (ii) consumable parts, such as batteries, unless product damage has occurred due to a defect in materials or workmanship; (iii) damage caused by accident, abuse, misuse, water, flood, fire, or other acts of nature or external causes; (iv) anticipated wear or damage due to use of the product in the application for which it is marketed; (v) damage to a product that has been modified, altered or has been used contrary to applicable standards or promoted application without the written permission of Oberon. This Limited Warranty is given in lieu of all other warranties expressed or implied, including merchantability or fitness for any particular purpose and constitutes the only WARRANTY made by Oberon. Oberon’s responsibility is limited to the repair or replacement of the goods or refund of the purchase price only, and it shall not be liable for any other direct or consequential damages in connection with the sale and distribution of its products.
